Terms of Service

By accessing or using EMMA, you agree to these Terms of Service. If you do not agree, do not use the product.

These terms apply to your use of the website, app features, subscriptions, and related services offered by FOLINO LLC for the EMMA product.

EMMA provides AI-assisted creative features, including Chat, Music Studio, Samples & Loops, AI presets for Serum 2, Lyrics Studio, Chords, Stems, Image Studio, Video Studio, and Cloud Library.

You agree to use the service only for lawful purposes and in a way that does not interfere with the platform, its infrastructure, or other users.

You are responsible for maintaining the confidentiality of your account credentials and for activities that occur under your account.

You must provide accurate account information and keep it reasonably up to date.

Samples & Loops, Stems, Chords, and Lyrics Studio require an eligible paid subscription. Other paid operations require sufficient credits or wallet funds according to the feature and model shown in the app.

Subscription credits and prepaid wallet funds are separate balances. Eligible operations may use available credits first and wallet funds for the remainder. Wallet-only operations, including image and video generation, ElevenLabs music and stems, AI lyric drafts, and reading lyrics from audio, use wallet funds. Chat usage is included with account access and does not spend generation credits.

Review the displayed price or estimate before submitting an order. Costs may depend on the model, duration, resolution, references, and requested operation. An order may reserve funds while processing; final charges and any released reservation are reflected in your balance and transaction history.

Billing, payment methods, subscription changes, and cancellations may be managed through Stripe or other payment providers connected to the service.

Plan prices, billing intervals, included credits, and storage allowances are shown on Pricing and at checkout. Subscriptions renew according to the billing interval selected unless cancelled. Manage your subscription through Billing. Model prices and available features may change; review the current price before each order.

Credits do not roll over unless FOLINO LLC expressly states otherwise for a specific plan, promotion, or offer.

Fees are generally non-refundable except where required by law or where we expressly state otherwise.

You retain ownership of and responsibility for the prompts, messages, files, songs, vocals, beats, samples, reference tracks, images, videos, lyrics, melodies, presets, stems, project details, and other material you upload or submit to EMMA.

By uploading, submitting, saving, or processing content through EMMA, you represent and warrant that you own that content or have all rights, licenses, permissions, and clearances needed to use it with the service and to create, store, download, distribute, release, or commercially exploit any resulting output.

You should not upload infringing, unlawful, harmful, private, confidential, or unauthorized content. This includes copyrighted songs, samples, vocals, stems, lyrics, melodies, reference tracks, or recordings that you are not allowed to use.

FOLINO LLC does not verify, clear, license, or approve copyright, publishing, master, sample, vocal, likeness, or other rights in user uploads or generated outputs. You are solely responsible for rights clearance and for any claims, disputes, takedowns, losses, or liabilities that arise from content you upload, submit, generate, save, download, release, or otherwise use.

You agree that FOLINO LLC is not responsible for copyright infringement or other rights violations caused by your uploads, prompts, references, saved files, generated outputs, or downstream use of the service.

You grant FOLINO LLC and its service providers a limited license to host, store, reproduce, process, transmit, display, and create outputs from your content as needed to operate EMMA, provide requested features, save Cloud Library projects and versions, troubleshoot issues, secure the service, and enforce these terms.

EMMA may generate chat replies, songs, samples, beats, lyrics, transcriptions, Serum 2 presets, stems, chord ideas, MIDI, images, videos, project metadata, and other creative output based on your inputs.

You are responsible for reviewing outputs before using them in commercial, legal, financial, or otherwise sensitive contexts.

Generated results may be incomplete, imperfect, unexpected, or similar to outputs provided to other users. Transcriptions, stem separation, and audio-to-MIDI conversion may contain errors or artifacts and should be reviewed.

Model capabilities, supported inputs, edit operations, output formats, and processing times vary. Third-party provider terms may apply to particular models and outputs. A paid generation does not guarantee every edit or export option is available.

We do not guarantee that generated outputs are unique, copyrightable, free from third-party claims, commercially usable, accepted by distributors, compatible with every DAW or plugin, or suitable for any particular release, sync, licensing, or business purpose.

If you use generated outputs publicly or commercially, you are responsible for checking the output, obtaining any needed rights, and complying with applicable laws, platform rules, distributor requirements, and third-party agreements.

Cloud Library lets you save supported audio, images, videos, lyrics, presets, uploads, versions, metadata, playback links, and related project information in your account.

You are responsible for the accuracy of saved project information, version labels, titles, metadata, and files you upload or attach to a project.

Free accounts have no Cloud storage. Paid storage allowances and credit allocations are listed on Pricing. A wallet top-up does not itself add a subscription or Cloud storage.

Clear history in Image Studio or Video Studio changes which generations appear in that studio’s history. It does not delete Cloud files, generation or billing records, or cancel generations already in progress. Use Cloud deletion controls or contact support when you want saved content removed.

Chat conversations are not saved as account history. Copy replies you want to keep before leaving or reloading the page.

Cloud Library is a product feature, not a guaranteed permanent backup. You should keep your own copies of important files, songs, lyrics, stems, presets, and project materials.

We may remove, disable, limit, or refuse to process content if we believe it violates these terms, creates risk for the service, exceeds plan limits, or may infringe third-party rights.

You may not use EMMA to abuse the platform, bypass access controls, scrape protected systems, violate intellectual property rights, or engage in unlawful conduct.

You may not use EMMA to create, upload, store, distribute, or process content that infringes another person or company's copyright, trademark, publicity, privacy, contractual, or other rights.

We may suspend or terminate access if we reasonably believe your use violates these terms or creates risk for the platform or others.

We may update, modify, pause, or discontinue parts of the service at any time.

We do not guarantee uninterrupted availability, exact output quality, or compatibility with every workflow, DAW, plugin, or third-party provider.

The EMMA product, the FOLINO brand, FOLINO LLC materials, software, interface elements, and related content are owned by their respective rights holders and are protected by applicable intellectual property laws.

Except where expressly permitted, you may not copy, reverse engineer, redistribute, or exploit protected parts of the service beyond your allowed use.

Nothing in these terms transfers ownership of your original uploads to FOLINO LLC, but you remain responsible for proving and maintaining the rights needed for those uploads and any outputs based on them.

EMMA is provided on an “as is” and “as available” basis to the fullest extent allowed by law.

We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation unless such disclaimers are not allowed by law.

We do not provide legal, copyright, publishing, sample-clearance, distribution, or rights-management advice. Any rights decisions related to uploads, prompts, references, generated songs, lyrics, stems, presets, or commercial releases are your responsibility.

To the fullest extent permitted by law, FOLINO LLC, EMMA, and related parties will not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the service.

Where liability cannot be excluded, it will be limited to the amount you paid to use the service during the relevant period or the minimum amount required by law.

You may stop using the service at any time.

We may suspend or terminate access if needed to protect the service, enforce these terms, comply with law, or address abuse or non-payment.

We may update these Terms of Service from time to time. Updated terms become effective when posted unless otherwise stated.

Your continued use of EMMA after an update means you accept the revised terms.
